• Application – The Open Earn Telegram Mini App and related services operated by The Open Squad.
• User – any individual accessing or using the Application.
• Task – actions such as viewing advertisements, clicking links, subscriptions, or other activities made available within the Application.
• Rewards – internal credits, value units, or other in-app benefits that may be granted subject to verification and these Terms.
• Internal Balance – a virtual in-app balance with no independent monetary value unless and to the extent a supported withdrawal option is made available by us.
• The Wheel – an in-app randomized promotional reward mechanic.
• Restricted Jurisdiction – any country, territory, or jurisdiction where access to or use of the Application would be unauthorized, restricted, or prohibited under applicable law or our internal compliance policies.
• U.S. Person – any person or entity treated as a U.S. person under applicable U.S. laws or regulations, where relevant.

By accessing or using the Application, the User acknowledges that they have read, understood, and agree to be bound by these Terms of Use, as amended from time to time.

If the User does not agree to these Terms, they must immediately cease accessing and using the Application.

We may modify these Terms at any time. To the maximum extent permitted by applicable law, continued access to or use of the Application following publication of updated Terms constitutes acceptance of such updated Terms.

Use of the Application is also subject to our Privacy Policy, which describes how we collect, use, disclose, retain, and otherwise process personal data.

In the event of any inconsistency between these Terms and the Privacy Policy, these Terms shall control with respect to contractual matters, including eligibility, use restrictions, rewards, withdrawals, suspension, termination, and dispute-related matters, unless expressly stated otherwise.

The Privacy Policy forms an integral part of use of the Application.

The Application is intended only for individuals who are at least 18 years old.

The Application may include:

• advertising content;
• promotional and randomized mechanics;
• digital reward features.

Users are solely responsible for ensuring that their access to and use of the Application is lawful in their jurisdiction.

By accessing or using the Application, the User represents and warrants, on a continuing basis, that:

• they are at least 18 years old;
• they are not a U.S. person, are not located in the United States, and are not accessing or using the Application from the United States;
• they are not located in, resident of, or otherwise accessing the Application from any Restricted Jurisdiction;
• they are not purchasing, accessing, or using the Application on behalf of, for the benefit of, or under the direction of any U.S. person or any person, entity, business, or organization located in a Restricted Jurisdiction where such transaction, access, or use would be prohibited;
• they are not subject to any applicable sanctions, blocking measures, export controls, or similar restrictions, and are not using the Application in connection with any sanctioned person, entity, wallet, address, or transaction;
• their access to and use of the Application complies with all applicable laws, rules, and regulations;
• they understand and accept the technical, operational, legal, and economic risks associated with digital rewards, virtual balances, blockchain-related systems, Telegram-based services, and third-party infrastructure.

The Application may not be accessed or used, directly or indirectly, by or for the benefit of any person or entity that is subject to sanctions, blocking measures, export restrictions, or similar legal or regulatory prohibitions.

Without limiting the foregoing, the User may not use the Application in connection with any wallet, address, transaction, counterparty, or jurisdiction whose involvement would violate applicable sanctions, export control requirements, or internal compliance rules.

We reserve the right, in our sole discretion and to the maximum extent permitted by applicable law, to suspend or terminate access, block or refuse withdrawals, reverse rewards, freeze activity, or take any other action we deem reasonably necessary in connection with actual or suspected violations of this Section.

The Application is a promotional, advertising, engagement, and digital rewards interface.

It does not constitute: employment; staffing; agency; partnership; fiduciary engagement; banking; custody; brokerage; payment services; money transmission; investment services.

Nothing in the Application creates any entitlement to compensation, salary, wages, guaranteed income, or continued reward opportunities.

Any rewards, balances, or withdrawal opportunities are conditional, discretionary, revocable, and subject to validation, compliance review, technical availability, partner confirmation, anti-fraud checks, and these Terms.

The Application may facilitate the purchase, sourcing, resale, provisioning, or delivery of Digital Goods, including Telegram-related products, through third-party platforms, providers, marketplaces, processors, or infrastructure.

Unless expressly stated otherwise, we act as an independent reseller, intermediary, facilitator, or fulfillment layer and do not operate, control, or own Telegram, Fragment, payment networks, wallet infrastructure, blockchain networks, or third-party delivery systems.

Availability, timing, price, delivery sequence, technical status, and fulfillment of Digital Goods may depend on upstream providers, platform rules, third-party confirmations, and technical conditions outside our reasonable control.

Any Internal Balance displayed within the Application is a virtual in-app record only.

Except to the extent that we expressly support an approved withdrawal mechanism, the Internal Balance:

• is not real money;
• has no cash value or independent monetary value;
• does not constitute property;
• does not constitute a deposit, stored value, security, investment, or ownership right.

The Internal Balance may not be transferred, sold, assigned, pledged, or exchanged outside the Application except through withdrawal methods, if any, that we expressly support.

We may, at any time and in our sole discretion, investigate, adjust, correct, suspend, invalidate, reverse, or cancel any balance entry, credit, reward, transaction, or related record where we consider such action necessary for operational integrity, fraud prevention, compliance, security, error correction, or enforcement of these Terms.

Earning

All rewards are provisional unless and until finally validated and confirmed by us.

We may deny, delay, withhold, reverse, cancel, or adjust rewards or related balance entries in the event of: suspected fraud; invalid activity; duplication; technical error; partner-side rejection; compliance concerns; breach of these Terms.

Withdrawals

At the time of these Terms, supported withdrawal thresholds may include:

• USDT: minimum 1.00
• Stars: minimum 50
• Gifts: minimum 15

Any withdrawal request is subject to: verification; compliance review; anti-fraud controls; technical availability; third-party infrastructure; internal policies; any applicable thresholds, limits, fees, queues, quotas, and processing conditions in effect at the relevant time.

Withdrawals may be: delayed; queued; rate-limited; reviewed manually or automatically; suspended; rejected.

We reserve the right to: suspend withdrawals at any time; impose limits, fees, quotas, timing rules, or eligibility conditions; request additional verification; block, cancel, reverse, or refuse withdrawal requests; add, remove, modify, suspend, or discontinue supported withdrawal methods, thresholds, timing, conditions, conversion logic, fees, and related mechanics at any time in our sole discretion.

Submission of a withdrawal request does not create any guaranteed or vested right to payment unless and until such request has been expressly approved and successfully processed by us.

We are not responsible for delays, interruptions, or failures caused by blockchain networks, Telegram systems, wallet providers, partner systems, third-party services, or other infrastructure outside our reasonable control.

All thresholds, limits, fees, conditions, reward formulas, and withdrawal mechanics may be changed at any time at our sole discretion.

Purchases of Digital Goods, including Telegram Stars, Telegram Premium, Gifts, or similar items, may also be governed by our Digital Goods Purchase and Refund Policy.

To the extent the Application supports crypto-related functionality, such functionality is provided on an "as available" basis and may depend on third-party wallets, networks, validators, bridge providers, partner systems, or other infrastructure outside our control.

Users are solely responsible for: wallet security; private keys or wallet access credentials; transaction accuracy; selecting the correct wallet, network, and destination; evaluating whether any crypto-related functionality is lawful and appropriate for them.

Blockchain-related operations may be delayed, fail, be irreversible, or be affected by: congestion; protocol changes; validator behavior; chain events; partner systems; third-party outages; incorrect user inputs.

We are not responsible for: incorrect wallet addresses; failed or delayed confirmations; blockchain congestion; protocol-level events; partner outages; loss of funds or access caused by user error or third-party systems.

Nothing in the Application constitutes legal, tax, financial, investment, accounting, or other professional advice.

We do not act as the User's broker, fiduciary, custodian, advisor, financial intermediary, or agent.

Users should seek independent professional advice where appropriate and must not rely on the Application as a basis for financial, legal, tax, or investment decisions.

Users are solely responsible for determining, reporting, and paying any taxes, duties, declarations, or other obligations arising from their use of the Application or receipt of any rewards, withdrawals, digital items, or related benefits.

The Wheel is an in-app promotional mechanic.

At the time of these Terms:

• Entry cost: 0.25 USDT equivalent from earned balance only
• No external deposits are accepted for participation

The User acknowledges that:

• outcomes are randomized;
• rewards are not guaranteed;
• winnings may be lower than the participation cost;
• participation may result in no positive return.

The Wheel is a promotional feature operating on earned in-app value only.

The cost of participation, reward ranges, availability, rules, and mechanics of The Wheel may be modified, suspended, or discontinued at any time at our sole discretion.

The Application may display third-party advertisements, offers, links, tasks, and content.

We do not control and do not guarantee the legality, safety, availability, suitability, or accuracy of third-party content, services, offers, websites, wallets, apps, or systems.

Users interact with third-party content at their own risk.

We are not responsible for any action, omission, loss, delay, damage, fraud, technical issue, or dispute resulting from any third-party interaction.

We do not guarantee: that any tasks will be available at any time; any particular volume or frequency of tasks; any minimum level of rewards; uninterrupted continuity of service; availability in any jurisdiction or to any specific user segment.

Tasks may be added, removed, restricted, prioritized, throttled, or targeted at our discretion or at the discretion of our partners.

The User may not, directly or indirectly:

• create, control, or access multiple accounts except where expressly authorized by us in writing;
• use bots, scripts, emulators, automation tools, click farms, spoofing tools, farms, or simulated environments to interact with the Application;
• manipulate attribution, referrals, task validation, advertising flows, reward logic, balance calculations, withdrawal processes, or promotional mechanics;
• exploit bugs, vulnerabilities, race conditions, unintended behavior, or technical weaknesses;
• mask or falsify location, device identity, account identity, traffic origin, or other signals for the purpose of evading restrictions or obtaining rewards improperly;
• use VPN abuse, proxy abuse, traffic spoofing, location spoofing, device spoofing, or identity masking intended to circumvent restrictions;
• submit false, misleading, duplicated, or simulated activity;
• use the Application in connection with fraud, sanctions evasion, money laundering, deceptive conduct, illegal activity, or any activity that could expose us, our partners, or other users to legal, commercial, or reputational risk.

A violation may result in: immediate suspension or termination; reversal or forfeiture of all rewards; cancellation of withdrawals; permanent restriction of access; internal or external reporting where appropriate.

We may deploy automated and semi-automated systems, together with manual review, to detect fraud, abuse, manipulation, multi-accounting, invalid activity, security threats, or compliance risks.

Where we reasonably determine or suspect that activity is invalid, non-genuine, abusive, technically compromised, or otherwise inconsistent with these Terms or the integrity of the Application, we may:

• monitor user activity;
• analyze device, account, wallet, referral, location, and behavioral patterns;
• review, delay, deny, reverse, suspend, or cancel any task, reward, balance entry, referral, or withdrawal;
• block, restrict, suspend, or terminate accounts;
• take any other action reasonably necessary to protect the Application, our partners, or other users.

Where applicable law requires, users may contact support to request further review of certain decisions.

We may suspend, restrict, or terminate access to the Application at any time where we suspect or determine: fraud or abuse; sanctions or compliance risk; violation of these Terms; technical misuse; security concerns; legal or regulatory risk; harm to the Application, partners, or other users.

To the extent permitted by applicable law, such action may occur without prior notice.

Balances, pending rewards, referrals, entries, withdrawals, or other in-app entitlements may be frozen, reviewed, reversed, cancelled, or forfeited where we consider it necessary to protect the Application or enforce these Terms.

To the maximum extent permitted by applicable law, the Application is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including: loss of profits; loss of opportunity; loss of data; loss of rewards; withdrawal failure or delay; blockchain-related loss; partner failures; third-party conduct; unauthorized access; hacks; outages; service interruptions beyond our reasonable control.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Application shall not exceed the value of the last successfully processed reward specifically credited by us to the affected User.

We may modify, suspend, restrict, discontinue, replace, or reconfigure any aspect of the Application, including: tasks; eligibility rules; reward rates; thresholds; withdrawal methods; referral logic; promotional mechanics; queues; limits; fees; geofencing; security checks; technical requirements.

We may do so at any time and without liability, subject to applicable law.

The Application or any feature may become unavailable due to: maintenance; upgrades; security incidents; third-party service disruptions; partner restrictions; Telegram-side limitations; blockchain conditions; fraud review; compliance checks.

We are not responsible for resulting interruptions, delays, or changes.

The Application may experience bugs, errors, delays, exploits, outages, display inaccuracies, failed validations, duplicate records, unintended behavior, partner-side inconsistencies, or other technical problems.

We reserve the right to investigate and to correct, reverse, cancel, suspend, or adjust any affected balance, reward, referral, entry, transaction, display, or status record.

We reserve the right to interpret and apply these Terms in good faith and in accordance with the intended operation, integrity, and security of the Application.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force to the maximum extent permitted by law.

Users acknowledge that they do not rely on the Application as a source of guaranteed income, employment, investment return, or financial opportunity.

Participation in the Application is voluntary and at the User's own risk.

To the maximum extent permitted by applicable law, the User waives claims arising solely from: expected earnings not being realized; ungranted or reversed rewards; service interruptions; feature changes; withdrawal timing or availability; third-party failures outside our reasonable control.

Nothing in this Section limits any non-waivable rights under applicable law.

Before commencing any formal proceeding, the User agrees to first contact support and attempt in good faith to resolve the dispute informally.

To the maximum extent permitted by applicable law, disputes shall be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

Any arbitration requirement shall apply only to the extent valid and enforceable under applicable law.

The Application operates as a Telegram Mini App and is not affiliated with, endorsed by, or sponsored by Telegram Messenger LLP or any Telegram-related entity unless explicitly stated otherwise.

Telegram is not responsible for the content, operation, rewards, withdrawals, or functionality of the Application.

Users must comply with Telegram's applicable terms, policies, and platform rules.

The Application does not require users to engage in artificial inflation of Telegram metrics or any conduct prohibited by Telegram.

Advertisements, tasks, and offers may be provided by third-party partners.

We do not guarantee their legality, quality, safety, performance, availability, or accuracy.

Completion, attribution, or rewarding of ad-related activity may depend on third-party validation and technical systems outside our control.

The Application does not promise, guarantee, or imply any level of income, profit, reward frequency, or earning opportunity.

All rewards are conditional, variable, limited, and subject to change, suspension, reversal, or discontinuation.

Telegram Stars, Gifts, and similar digital items are Telegram-related or platform-related digital goods subject to Telegram-side systems, restrictions, and policies.

We are not responsible for: delivery delays; Telegram-side restrictions; conversion rates; Telegram-side reversals, limitations, or unavailability.

The Application does not offer real-money gambling.

No external deposits are accepted for participation in The Wheel or similar in-app promotional mechanics unless explicitly stated otherwise by us in a future update.

Where applicable, all such mechanics operate only on earned or in-app virtual value and remain subject to change or discontinuation.

Any attempt to exploit Telegram infrastructure, Application systems, reward logic, attribution systems, referrals, or related technical flows may result in immediate suspension or termination, reversal of activity, and any other action we consider appropriate.
